6. General Terms of Use (CGU) / Sale (CGV)

Preamble

These General Conditions of Sale (CGV) and Use (CGU) govern the access and use of the InkPro SaaS platform, operated by InkPro (hereinafter "InkPro"). InkPro is a SaaS platform intended for professional tattoo artists to automate their Instagram communication via an AI agent and centralize the management of their business.

Use of the InkPro platform implies full acceptance of these CGV/CGU by the Client.

1. Definitions

- Client: Any natural or legal person subscribing to an InkPro subscription, whether a "Solo Tattooist" or a "Salon Admin."

- Conversations: An exchange of messages with a user within 24 hours after the first message is received.

- User: Any person authorized by the Client to use the InkPro platform under their account (Solo Tattooist, Salon Admin, or Tattooist within a salon).

- InkPro Platform: The SaaS service provided by InkPro, accessible via the internet, enabling management of Instagram communication via AI and tattoo activity management.

- Subscription: Contract by which the Client subscribes to access and use the InkPro Platform for a specified duration, in exchange for payment.

- AI Agent: Assistant based on the OpenAI API, integrated with Instagram, answering frequent questions and facilitating appointment booking.

- Client Data: All information and content (prompts, price grids, client information, conversation histories, etc.) entered or generated by the Client and Users on the InkPro Platform.

- Instagram Graph API: Application programming interface provided by Meta (Instagram) used by InkPro to interact with tattooists' Instagram accounts.

2. Purpose

These CGV/CGU define the terms under which InkPro provides the SaaS Platform to its Clients and the conditions of platform use by the Users.

3. Access and Registration

3.1. Access Conditions: Access to the Platform is reserved for professional tattooists.

3.2. Registration: Done by creating an account. For "Solo Tattooist" subscriptions, the User is their own Salon Admin. For "Studio" subscriptions, a "Salon Admin" invites other "Tattooists" via email with a registration link.

3.3. Authentication: Access to services requires secure authentication (JWT). The Client and Users are responsible for keeping their login credentials confidential.

4. Services Offered

InkPro offers the following main features:

- Instagram AI Agent:

- Integration via Instagram Graph API (OAuth + real-time webhooks)

- Intelligent multi-tattooist routing

- Customizable prompt templates with automatic data access (price grid, calendar)

- Hybrid AI management (human intervention detection, automatic/manual deactivation/reactivation)

- Automatic escalation for complex cases (medical questions, modification requests, specific artistic projects, incomprehensible messages)

- Basic image analysis (size, complexity, style estimation, indicative price range)

- Tattooist Dashboard:

- Personal interface with dashboard (messages, appointments, quick actions)

- Management of "Messages to process" (escalated conversations or requiring intervention)

- Multi-view calendar (daily, weekly, monthly) with slot management (available, AI-reserved, confirmed, blocked, vacation) and appointment types

- Client CRM (list, detailed profile, history, projects, personal notes)

- Services and pricing management (standard price grid, specialized services, advanced settings)

- AI Bot settings (profile, personality, tone, behavior rules, tests)

- Personal tattooist profile

- Salon Admin Dashboard (for Studio subscriptions):

- Team management (invite, role modification, tattooist removal with data management)

- Complete salon configuration (general info, hours)

- Unified and consolidated salon client database

- Detailed subscription management (current plan, usage, history, billing, plan changes, cancellation)

5. Subscriptions and Pricing

5.1. Subscription Plans: InkPro offers individual ("Solo Tattooist") and multi-user ("Studio") plans.

- Individual Plans:

- Start (€59/month or €636/year, 100 AI conversations/month, 100 max clients)

- Scale (€89/month or €960/year, 300 AI conversations/month, unlimited CRM clients)

- Pro (€119/month or €1285/year, unlimited AI conversations and CRM clients)

- Studio Plan: €99/month for the studio + €59/month per seat, unlimited conversations, centralized client/agenda, full team management.

5.2. Pricing: Prices are listed in euros, including VAT, and may change. Applicable prices are those in force when subscribing or renewing.

5.3. Billing and Payment: Payments are handled via Stripe. The Client is responsible for all amounts due. Invoice history is accessible. Payment method changes are done through the Stripe portal.

5.4. Limits Management: Real-time counters track conversations used and allowed by the subscription plan.

5.5. Plan Changes: The Client may upgrade or downgrade their plan. Upgrades are immediate with prorated payment; downgrades take effect next cycle.

5.6. Cancellation: The Client may cancel their subscription with a confirmation procedure. Data is retained during a grace period.

6. Client Obligations

6.1. Proper Use: The Client and Users agree to use the InkPro Platform according to these CGV/CGU, applicable laws, and morals.

6.2. Accurate Information: The Client guarantees that all information provided during registration and platform use is accurate, complete, and up-to-date.

6.3. Instagram Accounts: Each tattooist connects their own professional Instagram account. The Client is responsible for obtaining the necessary permissions from Instagram (profile reading, direct message management, webhooks).

6.4. Content: The Client is solely responsible for the content published or transmitted via the Platform (AI prompts, price grids, client notes, etc.). The content must not infringe third-party rights or be illegal, defamatory, obscene, or harmful.

6.5. Security: The Client agrees to take all necessary measures to protect login credentials and notify InkPro of any unauthorized use of their account.

6.6. Instagram Rules Compliance: The Client must respect Instagram rate limits (200 messages/hour/account).

7. Liability

7.1. InkPro Liability:

- InkPro disclaims responsibility for service interruptions or degradations due to factors outside its control (e.g., internet outages, third-party API failures such as Instagram or OpenAI).

- The AI Agent provides indicative price estimates based on the tattooist’s price grid. InkPro is not responsible for final quotes or commercial agreements between tattooists and clients.

- Image analysis is basic and does not replace professional consultation.

- InkPro's liability applies only in proven fault cases and is limited to direct and foreseeable damages.

7.2. Client Liability:

- The Client alone is responsible for their and their Users’ use of the platform.

- Responsible for the accuracy, legality, and relevance of Client Data integrated into the platform.

- Responsible for compliance with applicable tattooing laws and regulations, including health, hygiene, and consent.

8. Intellectual Property

InkPro owns all intellectual property rights related to the Platform (full source code, documentation, design, etc.). The Client receives only a non-exclusive, non-transferable license for platform use during their subscription period.

9. Personal Data

InkPro collects and processes personal data according to its Privacy Policy. InkPro commits to GDPR compliance, particularly regarding consent, transparency, user rights (access, correction, deletion), and European data storage.

10. Duration and Termination

10.1. Duration: Subscriptions are monthly or annual, tacitly renewable.

10.2. Client Termination:The Client may cancel anytime as per article 5.6. Termination takes effect at the end of the current billing cycle.

10.3. InkPro Termination: InkPro may terminate subscriptions for serious Client breaches after warning with no effect, without prejudice to damages.

11. CGV/CGU Modifications

InkPro reserves the right to modify these CGV/CGU anytime. Changes take effect upon publication on InkPro’s website. The Client will be informed appropriately (email, platform notification). Continued use means acceptance of new terms.

12. Governing Law and Dispute Resolution

These CGV/CGU are governed by French law.

In case of dispute, parties must seek amicable resolution before legal action. If unresolved, French courts have exclusive jurisdiction.
